A SaaS order form (also called a subscription schedule) is the per-deal commercial document layered under a Master Subscription Agreement. It specifies the products, user counts, subscription term, and fees for a specific customer transaction without re-negotiating the underlying legal terms. This template provides a modular structure compatible with a standard SA enterprise MSA — POPIA s 21 reference, ECTA s 13 electronic signing, CPA s 14-compatible auto-renewal terms.

What’s in the template
What it’s not
- Industry-specific clauses (financial-services FAIS schedules, healthcare-data schedules) — these need bespoke drafting.

Frequently asked
What is a SaaS order form?
A short commercial document that drops in under a Master Subscription Agreement (MSA) and specifies the per-deal terms: which products, how many users, what subscription term, what fees. The MSA covers standing legal terms (IP, liability, data, dispute resolution) once; the order form covers commercials per deal. This is the standard enterprise SaaS contracting structure.
Do I need both an MSA and order forms?
For enterprise SaaS sales: yes. The MSA-plus-order-form structure is the dominant industry standard because it lets you negotiate standing terms once and then close deals quickly with marginal commercial-only negotiation. For self-service / low-touch SaaS, a single combined Terms of Service document is more efficient.
Will this template work with my existing master agreement?
The order form is drafted assuming a standard enterprise master with typical clauses for IP, liability, data, and dispute resolution. It will work with most properly-drafted MSAs but may need minor adjustment to align with specific definitions or order-of-precedence wording.
Need the full SaaS contract stack?
We draft complete SaaS contract stacks (MSA + Order Form + DPA + SLA + Privacy) under SA law. From R25,000 for the bundle.
