How It Works

1

Scoping Discussion

We discuss the commercial arrangement, the parties involved, and what the agreement needs to achieve. This ensures the draft reflects your actual business relationship.

2

Fee Confirmation

We confirm the fixed fee based on complexity, risk allocation, and scope. No work starts without your approval — and no fee exceeds the agreed amount.

3

Bespoke Drafting

A senior attorney drafts the agreement from scratch, tailored to your specific requirements. Not adapted from a generic template.

4

Delivery & Revision

You receive the draft in editable format. One round of revisions is included. The final agreement is delivered promptly after your feedback.

What's Included

Scoping consultation (video or phone)
Bespoke drafting by a senior commercial attorney
Commercially practical provisions — not academic boilerplate
One round of revisions incorporated
Delivered in editable Word format
Fee confirmed before work starts
From R12,000 (excl. 15% VAT)

What Influences the Fee

Type and complexityA straightforward NDA is less complex than a multi-party technology agreement.
Risk allocation sensitivityIP-heavy, regulated, or high-value arrangements require more careful drafting.
Counterparty negotiationIf the agreement will be negotiated, the drafting may need to anticipate likely pushback.
Bespoke vs existing frameworkDrafting from scratch costs more than adapting an existing agreement you already have.
Number of partiesMulti-party agreements are inherently more complex than bilateral ones.

Typical commercial agreements fall in the R12,000–R20,000 range. Complex or multi-party agreements may be higher. We always confirm before starting.

Bespoke vs Template

Template

Generic risk allocation that may not suit your business
No understanding of your commercial arrangement
May not comply with South African law
No attorney input or oversight
No recourse if the agreement fails to protect you
Typically R500–R3,000

Bespoke

Tailored to your specific commercial arrangement
Risk properly allocated between the parties
CPA, ECTA, and POPIA compliant where required
Senior attorney drafts and advises throughout
Designed for enforceability under South African law
From R12,000

A contract governs the relationship between you and the other party. The cost of rewriting it after a dispute is always higher than the cost of drafting it properly the first time.

Frequently Asked Questions

Is the R12,000 inclusive of VAT?

No. The fee is R12,000 excluding 15% VAT. The total including VAT is R13,800.

How long does drafting take?

Typically 5 to 10 working days depending on the complexity of the agreement. The timeline is confirmed during the scoping discussion.

Can you negotiate the counterparty's markup?

Yes. Negotiation support can be quoted separately or provided on an hourly basis. This is a common add-on to the drafting engagement.

Do you draft employment contracts?

This service focuses on commercial agreements between businesses. Employment contracts and HR documentation can be quoted separately.

What if I already have a draft I want improved?

We can review and redraft an existing document rather than drafting from scratch. The fee may be lower depending on the quality and completeness of the existing draft.

Can you draft agreements for regulated industries?

Yes. We consider sector-specific regulatory requirements including financial services regulations, technology and data protection laws, and industry-specific compliance obligations.
