All fees are quoted exclusive of VAT unless stated otherwise. VAT is levied at 15%. The deposit invoice is issued after the scoping consultation; the balance invoice issues on delivery of the completed documents or filings.
Frequently asked questions
What if we have more than 4 founders?
The package covers up to 4 shareholders. For 5 or more, contact us for a custom quote — the shareholders' agreement becomes more complex as the number of parties increases.
Is vesting included in the shareholders' agreement?
Yes. We include a standard 4-year vesting schedule with a 1-year cliff as a default, which you can customise during the drafting consultation.
What is Securities Transfer Tax (STT) and is it included?
STT is a 0.25% tax levied on the transfer or issue of shares. We calculate and advise on the STT due on your initial share issuance. Payment to SARS is a disbursement included in the package.
Can I add a Memorandum of Incorporation (MOI) later?
A standard MOI is included. If you need a bespoke MOI that varies the Companies Act defaults (e.g., restricting share transfers beyond the shareholders' agreement), that can be added as an optional extra.
